ARTICLE I - NAME AND PURPOSES
Section 1. The name of this club shall be Grand Lake Recreation Club, a non-profit organization.
Section 2. The purposes of the Grand Lake Recreation Club are to promote recreational opportunities in the Grand Lake region and it's surrounding areas, to keep abreast of laws governing these recreations, to pass this information on to it's membership and to work with law enforcement agencies to enhance the image of boaters, atv riders, & snowmobilers in the eyes of the general public. The club will offer help wherever needed in times of emergency.
ARTICLE II - MEMBERSHIP
Section 1. Membership in the Club shall consist of two classes:
a) Active Members, and
b) Associate Members
Section 2. Membership is open to any individual having an interest in recreational opportunity.
Section 3. Active members are those whose current yearly dues have been received. Each spouse of the family in residence is entitled to one vote each. Minors under age 18 shall be included in family membership.
Section 4. Associate Members may be designated by the elected officers, shall not pay dues, are without vote, and shall not hold office.
Section 5. Applications for membership shall be made in writing addressed to the Secretary of the Club on the appropriate form containing an agreement by the applicant to abide by the By-Laws of the Club.
Section 6. All first year members shall be considered Charter Members.
ARTICLE III - BOARD OF DIRECTORS
Section 1. The Board of Directors shall consist of seven directors: the Officers, and three elected Trustees to serve on a one year, two years and three years basis.
Section 2. The Board of Directors may employ whatever authority they deem necessary to aid in the management of the Club.
Section 3. Upon the request of the President or any two Directors, the Secretary shall call a special meeting of the Board of Directors
ARTICLE IV - OFFICERS
Section 1. The officers of the Club shall be: President, Vice-President, Secretary and Treasurer.
Section 2. The Officers shall be active members elected at the March meeting and shall assume office at the next meeting. The term of office is one year.
Section 3. The President shall preside at all meetings and perform such duties as are usual to his office.
Section 4. The Vice-President shall assume the duties of the President in his absence, and carry on such traditional duties of the office as may be passed on to him.
Section 5. The Secretary shall make a record of all meetings of the membership, carry on such correspondence as may be necessary, keep a record of membership, and report to the membership as directed.
Section 6. The Treasurer shall receive all dues, voluntary and special contributions, keep records of receipts and disbursements, report the financial condition at the membership meetings, and carry out the mandates of the office as expressed by the officers and/or the membership.
Section 7. Robert's Rules of Order, latest edition, shall be recognized as the authority governing the meetings of the Club, its Board of Directors and committees, in all instances wherein its provisions do not conflict with the By-Laws.
ARTICLE V - COMMITTEES
Section 1. The President shall appoint committees to properly carry out the needs of the members. Special committees may be authorized by the membership.
ARTICLE VI - MEETINGS
Section 1. Meetings shall be held once each month on the 2nd Sunday at 2:00 P.M. as often as deemed necessary by the membership.
Section 2. Special meetings may be called at any time deemed necessary by the Officers or Board of Directors.
Section 3. Written notices of the time and place of the annual and all other meetings of the membership shall be prepared and distributed to the membership by the Secretary as deemed necessary.
Section 4. A majority of the active members shall constitute a quorum. Any formal action taken at any meeting of the membership shall require a majority vote of those active members present.

ARTICLE VII - FISCAL YEAR
Section 1. The fiscal year of the Club shall coincide with the term of office of the treasurer (Ref Art IV Sec. 2)
ARTICLE VIII - DUES
Section 1. The annual dues can be regulated yearly, by vote of membership, based on the needs of the treasury. Dues shall run concurrently from the January 1 thru December 31.
Section 2. Any expenditure of $200.00 or more, must be approved by a majority of membership vote present.
ARTICLE IX - ELECTION PROCEDURE
Section 1. A Nominating Committee shall consist of the Board of Directors. They will perform such duties as are usual to this committee.
Section 2. Election of Officers and Directors shall be at the annual meeting in March.
Section 3. Voting shall be secret ballot and conducted by those present at the annual meeting in March.
ARTICLE X - AMENDMENTS
Section 1. The By-Laws may be changed only by a majority vote of the membership. Such vote may be conducted only upon a 30-day notice prior to such meetings.
Section 2. In the event that the Grand Lake Recreation Club shall disburse, all assets shall be contributed to any charitable organization designated by a vote of majority present.
